Experienced corporate lawyer and corporate director

Available for selected business law mandates, board service, governance reviews and tribunal work

As I enter the “second act” of my professional career, I offer the following narrative CV, which reflects both my achievements to date and my aspirations for the future.

Legal Work:

I have recently retired from being a partner at Goodmans LLP in Toronto where I have spent the majority of my legal career. During my tenure, I specialized in corporate/commercial transactional work with a particular emphasis in recent years in debt financing including debt securities. My contributions to Goodmans earned me recognition in several prominent Canadian legal directories. I also became the firm’s primary partner for providing legal opinions including in the area of structured transactions/securitizations for which I also co-authored a chapter in a leading in industry publication.

Although I have retired from full time practice, I have have maintained my law license to assist clients with specific transactional needs or in connection with governance matters. For larger projects I would hope to bring in my colleagues at Goodmans and for smaller engagements I plan to work with former alumni of Goodmans who have formed Founders LLP, a boutique corporate law firm and who also bring me into their own matters from time to time.

Board Work:

I serve on the governing board of Brandeis University in the Greater Boston area where I currently chair its Compensation Committee and have previously chaired its Nominating and Governance Committee. Additionally, I serve as a “bencher” on the governing board of the Law Society of Ontario and where I am vice-chair of its Audit and Finance Committee. I am a director on the board of the Lawyers Professional Indemnity Company (LAWPRO) , which insures Ontario lawyers, and participate in both its governance and investment committees.

These roles on the boards of complex organizations have led to my now having broad expertise as a board member in corporate governance and both for non-profits and for profit enterprises. I am currently enrolled in the ICD-Rotman Directors Education Program and aim to earn my ICD.D designation by the end of 2025.

As my term on the Brandeis boards nears its conclusion and my tenure on the LSO and LAWPRO boards is subject to re-election, I am open to joining the governing board of a for profit organization or of a non-profit whose mission aligns with my values and interests.

Additional Experience of Note:

Teaching
-I am adjunct faculty at the Faculty of Law, University of Toronto where I teach “Business Organizations.” The course primarily serves internationally trained lawyers navigating the Ontario law licensing and focuses on corporate governance, bridging my legal expertise with my board experience.

Tribunal Work—I serve as a member of the Law Society Tribunal, participating in panels that adjudicate disciplinary matters referred by the LSO.

Advisory Board Engagement—I am currently the President of U of T’s Law Alumni Association , where I lead an advisory board that works closely with the Dean of the Faculty of Law. I also held a senior leadership role on the College of Electors of U of T, overseeing the recruitment and election of alumni/ae to the University’s governing board.

Previously, I served as the first non-American President of Brandeis University’s worldwide alumni association, where I also chaired its alumni advisory board for four years.

Volunteer Activities—Beyond my professional and academic commitments, I actively engage in volunteer work. I continue to mentor individuals from specific patient populations and currently sit on the board of Prostate Cancer Support Toronto. I have also assisted in revising the governing documents of a Florida co-operative association where I also currently serve as its President.

Areas of Practice and Interest

Legal Work

As described above, I am interested in taking on specific mandates that both are in my wheelhouse and where I can make a difference to clients who do not have access to big Bay Street law firms.

Corporate Board Service and Governance Reviews

Also as described above, I am open to joining the board of a for profit corporation, especially one that has a need for governance expertise, or being part of a governance review as a non-board member consultant.

I am willing to consider joining a non-profit board as well, to the extent that the mission of an organization aligns with my own values and interests. I already serve on the board of a non-profit with a mission to increase awareness of prostate cancer and support patients and their families.

Given my deep expertise in university governance, I have a particular interest in opportunities to assist Canadian universities undergoing governance reviews.

Tribunal Work

Given the skill set I am developing as a result of being on the Law Society Tribunal, I am also open to other tribunal work.
